BYLAWS OF RAMONA OUTBACK AMATEUR RADIO SOCIETY ROARS AS AMENDED May 28, 2003 ARTICLE 1: Membership A. All persons interested in Amateur Radio communications shall be eligible for membership. Membership shall be by application and upon such terms as the Ramona Outback Amateur Radio Society, also known as ROARS, shall establish. B. Membership Categories and Privileges. i. Single: A licensed amateur radio operator and is entitled to all club privileges. ii. Family: All licensed amateur radio operators residing at the same address and are entitled to all club privileges except that a member less than 18 years of age is not entitled to hold office. iii. Student: A licensed amateur radio operator less than 18 years of age and is entitled to all club privileges except to hold office. iv. Associate: Any individual or group not meeting the criteria of the other membership categories and is not entitled to hold office or vote. ARTICLE 2: Directors and Officers A. The number of Directors/Officers of Ramona Outback Amateur Radio Society shall be no less than four, nor more than five. Directors/Officers shall be elected annually and shall serve a term of two years, with two Directors changing annually. To start, the President and Treasurer shall be elected for two years and may change every even year thereafter, and the Vice President and Secretary shall be elected for one year and may change every odd year thereafter. Directors/Officers may swap positions with a majority vote of the Directors/Officers and the approval of a majority of members present at the next regular meeting. B. The Directors/Officers of Ramona Outback Amateur Radio Society shall be no less than: President, Vice President, Secretary, and Treasurer. Elections shall take place annually at the January meeting with Officers being elected by a majority of the Full members present. C. Director/Officer vacancies occurring between elections must be filled by special elections at the first regular meeting following the withdrawal or resignation of an Officer or Director. D. Directors/Officers may be removed by a majority vote of all active full members. E. The Directors/Officers of the Ramona Outback Amateur Radio Society shall establish, maintain, and abide by the ROARS Officer Guidelines. The ROARS Officers Guidelines may be changed at any time by a majority vote of the Directors. The ROARS Officers Guidelines shall not conflict with any ROARS Bylaws or amendments. ARTICLE 3: Duties of Officers A. The President shall preside at all meetings and conduct them according to the rules adopted. He/She shall enforce due observance of all adopted rules and the Bylaws, decide questions of order, sign all official documents, and perform all other duties pertaining to the Office of President. At the expiration of his/her service, the President shall return al ROARS property in his/her possession to the Directors/Officers. B. The Vice President shall assume all the duties of the President in his/her absence. He/She shall maintain close liaison with the Emergency and Operating Committees to ensure continuing adherence to ROARS objectives. At the expiration of his/her service, the Vice President shall return all ROARS property in his/her possession to the Directors/Officers. C. The Secretary shall keep a record of the proceedings of all meetings, maintain roster and attendance records of members, read communications at each meeting, including the minutes from preceding meeting, carry on all correspondence, submit membership applications, and mail written notices of special meetings to each member. At the expiration of his/her service, the Secretary shall return all ROARS property in his/her possession to the Directors/Officers. The Secretary shall have the duty to keep the Bylaws, Officer Guidelines and Minute Book of ROARS and have same with him/her at every meeting. He/She shall note all amendments, minutes, changes and additions to the operating rules of ROARS as may be further established and make all records available to members upon reasonable request. D. The Treasurer shall receive and receipt, in trust for ROARS, all monies received and expended, shall pay no bills without proper authorization, and submit quarterly itemized statements of receipts and expenditures. At the end of his/her service, the Treasurer shall return all ROARS property in his/her possession to the Directors/Officers. ARTICLE 4: Meetings A. Regular meetings shall be held on the fourth Wednesday of each calendar month except in November and December. Special meetings may be called by the President upon proper notice. B. At meetings, a minimum of one-quarter of the membership, excluding associate members, shall constitute a quorum for the transaction of business. C. At Director/Officer meetings, a minimum of three Directors/Officers constitutes a quorum for the transaction of business. ARTICLE 5: Fees, Dues and Assessments A. For Dues, there shall be four types of membership: Single, Family, Student, and Associate. A new member is defined as any person who has not been a ROARS member in the previous two calendar years. Each member in good standing must pay, within the time and on the conditions set by the Directors/Officers, the annual and new member dues in amounts which may be fixed from time to time with a majority vote of the Directors/Officers and the approval of a majority of members present at the next regular meeting. Dues are 16 dollars for a Single membership; 20 dollars for a Family membership; 12 dollars for a Student membership; and 10 dollars for an Associate membership. B. Dues shall be assessed annually and are due and payable during the month of January. Members who have not paid their dues by March 31, will be removed from the roster and mailing list in April. The Directors/Officers, with a majority vote, may make special or hardship exceptions. ARTICLE 6: Membership Assistance ROARS, through designated committees, shall provide educational and technical advice to members concerning equipment design and operation. The objectives of these committees will include training and support for emergency communications and assisting member stations in meeting good engineering practices, such as frequency observance, clean signals and absence of spurious radiation. ROARS shall maintain programs to provide training in amateur radio theory and code. In addition, ROARS shall maintain a program to foster favorable public relations. ARTICLE 7: Coordinator and/or Committees A. Emergency Preparedness Coordinator and/or Committee This coordinator and/or committee shall be appointed by the Directors/Officers. The coordinator and/or committee shall provide liaison with public service agencies. It will coordinate emergency communications capabilities of ROARS [including equipment and operators]. The coordinator and/or committee shall also conduct training and practice drills to ensure timely and efficient response of ROARS to requests for emergency communications. B. Operating Coordinator and/or Committee This coordinator and/or committee shall be appointed as needed by the Directors/Officers. The coordinator and/or committee shall direct investigation, invite proper inquiries, and establish technical facts and testimony concerning operating or interference problems, and report its result to ROARS. In addition, this coordinator and/or committee will conduct educational activities for members and the community. C. Nominating Committee The President shall appoint a nominating committee consisting of three Full ROARS members no later than the December meeting each year. This committee shall present a list of recommended candidates for the expiring terms of ROARS Directors/Officers in the January newsletter and at the January meeting. D. Other Coordinators and/or Committees The Directors/Officers may appoint other coordinators and/or committees as defined and maintained in the ROARS Officers Guidelines Book. ARTICLE 8: Amendments Proposed amendments to these Bylaws shall be submitted in writing to the Secretary at a regular meeting by any member, except an Associate member, with sufficient copies provided for the members in attendance. The proposed amendment shall be published in the next ROARS newsletter and posted on the ROARS website so as to notify all members of the intent to consider an amendment to the Bylaws at the next regular meeting. At that next regular meeting the proposed amendment will be considered. If approved by a majority of the members in attendance, the proposed amendment shall be published in the next ROARS newsletter and posted on the ROARS website so as notify all members that a vote will be taken on the proposed amendment at the next regular meeting. The proposed amendment will be incorporated into the Bylaws upon a vote of approval by two-thirds of the quorum in attendance at that meeting. ARTICLE 9: Rules of Order Whenever any question or point of order shall arise concerning parliamentary procedure or instruction not contained herein, Robert's Rules of Order shall govern.
